INFORMATION SYSTEMS JOINT VENTURE

The following resolution was adopted:

  • WHEREAS, the University desires to enter into a joint venture with the University Health Services Foundation (HSF) and Integrated HealthCare Solutions (IHS) to manage and integrate the University of Virginia Medical Center clinical information system operations and to develop, sell and distribute information system products to Virginia providers;
  • WHEREAS Section 23-77.3 of the Code of Virginia grants authority for the University of Virginia Medical Center to enter into joint ventures;
  • RESOLVED that the Executive Vice President and Chief Financial Officer, in consultation with the Rector, the Chair of the Health Affairs Committee, the Vice President and Provost for Health Sciences and the General Counsel, is authorized to negotiate with IHS the proposed joint venture and upon ratification by the Executive Committee of the Board, to sign such documents on behalf of the University as may be necessary to enter into the joint venture on or about December 1, 1996, with HSF and IHS for the purposes aforesaid.
