APPROVAL OF MEMORANDUM OF UNDERSTANDING BETWEEN THE RECTOR
AND VISITORS AND THE ROANOKE MEMORIAL HOSPITALS
Upon the recommendation of the Health Sciences Committee, the following resolution was adopted:
- RESOLVED by The Rector and Visitors of the University of Virginia that the Memorandum of Understanding which follows be and it is hereby approved:
- This memorandum of understanding is made and entered into between The Rector and Visitors of the University of Virginia (hereinafter called "University") and the Roanoke Memorial Hospitals whose address is Bellview at Jefferson Street, Roanoke, Virginia 24014 (hereinafter called the "Hospital").
- 1. Purpose:
- The University and the Hospital recognize that they share the mutual goals of:
- a. Providing optimum patient care.
- b. Providing undergraduate training, graduate training, and continuing education for health personnel.
- c. Fostering clinical and medical research.
- d. Developing systems for the delivery of health care.
- 2. Effective Date and Duration:
- This memorandum shall become effective November 1, 1973 or as soon thereafter as possible, and shall continue in effect for a period of five (5) years subject to annual renewal or modification by consent of both parties. It may be sooner terminated before expiration of its term, by either party giving the other at least one year's written notice of intent to terminate.
- 3. Financing:
- The Hospital and the University will establish jointly the operating budget for all aspects of the program. In addition to Hospital, University of Virginia School of Medicine and State General Assembly Funding, other sources in the community will be encouraged to contribute to the funding of this program. It is understood that there shall be no financial obligation or exchange of funds between the Hospital and the University in fulfillment of this agreement.
- 4. Responsibilities Assigned:
- a. In order to achieve the general objectives of improving patient care, developing and expanding educational programs, and expanding clinical services, the Hospital specifically agrees:
- (1) To accept students in various specialties and to make its facilities available for purposes of this program.
- (2) To provide supervision for the educational programs through use of its medical staff.
- (3) To extend medical staff privileges to selected medical school faculty members consistent with the usual appointment procedures specified in its bylaws.
- (4) To integrate and affiliate programs in graduate medical education in appropriate medical specialties in order to provide training and supervision for graduate students (residents).
- (5) To provide facilities for programs in continuing medical education and encourage its medical staff to participate in said educational programs.
- (6) To encourage appropriate programs in clinical research and in research in health care delivery and to cooperate in selected research activities of the School of Medicine in which it can make a meaningful contribution.
- b. In order to achieve the general objectives of increasing the number of physicians and other health personnel trained annually, expanding the curriculum to include programs in community medicine, family practice and selective health care for the benefit of the community and the Commonwealth, and expanding the scope and quality of continuing education programs, the University specifically agrees:
- (1) To encourage medical students to participate in community hospital programs in various specialties.
- (2) To extend faculty appointment to those members of the medical staff who indicate a desire for such appointment, and who make a significant contribution to the educational program. Individual candidates will be reviewed for approval or disapproval at the respective department level. Approval of faculty appointment and the determination of rank of such appointment is reserved to the Dean of the School of Medicine.
- (3) To integrate and affiliate programs in Graduate Medical Education in appropriate medical specialties and provide training and supervision for graduate students.
- (4) To consult with the Hospital regarding the content and scheduling of programs in continuing education and to encourage the medical school faculty to participate in such educational programs.
- (5) To encourage appropriate programs in clinical research in research in health care delivery by providing professional advice and administrative consultation to members of the hospital staff.
- c. It is mutually agreed that:
- (1) Specific programs and numbers of students participating will be determined by designated representatives of both institutions.
- (2) A joint liaison committee will be formally appointed to review, evaluate and modify all programs carried out under this agreement subject to the approval of both institutions. The liaison committee shall meet at least annually in the community served and more often if necessary. Membership of the committee will be as follows:
- (a) For the Hospital:
- 1. An officer of the Governing Board.
- 2. Chief Executive Officer of the Medical Staff.
- 3. Hospital Administrator.
- 4. Director of Medical Education.
- 5. Two members at large from among the Medical Staff, the Governing Board, or the Administrative Staff of the Hospitals.
- (b) For the University:
- 1. Vice-President for Health Sciences.
- 2. Dean, School of Medicine.
- 3. Three members of the Medical Advisory Committee of the School of Medicine or other educational committees of the medical center, one of whom will be the Director of the Affiliated Program.
- 4. One member at Large.
- (c) The appointed officer of the Governing Board will establish the agenda and preside at these meetings.
- (3) A review committee consisting of all affiliated hospital liaison committees presently active will be called at least annually by the Vice-President for Health Sciences. The Review Committee will meet in Charlottesville, and the Vice-President for Health Sciences will establish the agenda and preside over the meeting.
- 5. Claims:
- Neither party shall make any claim against the other for damages or other relief based upon the failure of either party to observe any condition herein made binding in the event such failure is caused by reason of the fact that the party in default complied with any law, rule or regulation of the United States Government or of the Commonwealth of Virginia, or if such failure is due to any cause beyond the control of the party in default.
