APPROVAL OF RESOLUTION ADOPTED BY THE EXECUTIVE COMMITTEE
WITH MINOR AMENDMENT

  • The following resolution was adopted:
  • WHEREAS, the Finance Committee is charged with the responsibility, pursuant to Section 3.21 of the Manual of the Board of Visitors, to approve on behalf of the Board "the investment of endowment and other funds";
  • WHEREAS, in discharging this responsibility the Finance Committee has adopted policies and related guidelines which stipulate the types, ranges, and limitations of permissible investments of endowment and other University funds, and the permissible purposes and extent of expenditures of investment income derived therefrom; and
  • WHEREAS, in the interim between meetings of the Finance Committee there arise certain matters associated with the implementation of the investment policies and guidelines, particularly pertaining to the selection and termination of investment managers and the redistribution of funds among investment managers, which matters would be more efficiently and effectively attended to by a subcommittee of the Finance Committee;
  • RESOLVED that an Investment Subcommittee of the Finance Committee, consisting of threefour members appointed by the Chair, (with three members constituting a quorum), be and is hereby established and specifically authorized to select, monitor the performance of, and terminate investment managers, and to review and approve the redistribution of funds among investment managers;
  • FURTHER RESOLVED that the Investment Subcommittee shall discharge such delegated responsibilities in conformance with the investment policies and guidelines adopted or hereafter amended by the Finance Committee, and shall provide a quarterly report of its activities to the Finance Committee.
