RESOLUTION RELATING TO A PROTECTIVE CLAUSE IN THE AGREEMENT
BETWEEN CONTINENTAL DEVELOPMENT GROUP AND THE UNIVERSITY REAL
ESTATE FOUNDATION

  • The following resolution was adopted:
  • WHEREAS, the University Real Estate Foundation is proposing to develop an office/research park for the benefit of the University of Virginia; and
  • WHEREAS, as a condition of entering into a ground lease, the Continental Development Group, a developer selected by the Board of Directors of the University Real Estate Foundation, requests that a protective clause be approved by the Board of Visitors; and
  • WHEREAS, the Board of Visitors agrees conceptually to a protective clause may be appropriate;
  • RESOLVED, that the General Counsel and the Vice President for Business and Finance be and they are hereby requested to prepare an appropriate protective clause for consideration by the Executive Committee of the Board of Visitors; and
  • BE IT FURTHER RESOLVED that the Executive Committee of the Board of Visitors be and it is hereby authorized to approve such clause on behalf of the Board of Visitors so long as it is convinced that such clause will in no way impede the academic pursuits of the University.
