RESOLUTION TO AVOID CONFLICT OF INTEREST FOR E. MASSIE VALENTINE

The following resolution was adopted:

WHEREAS, E. Massie Valentine, president of Johnson & Higgins of Virginia, Inc., and a director of Johnson& Higgins, parent of Johnson & Higgins of Virginia, Inc. (the two firms being collectively called "Johnson & Higgins"), has been appointed to serve as a Member of the Board of Visitors of the University of Virginia (the "University"); and
WHEREAS, Johnson & Higgins from time to time may furnish insurance brokerage, actuarial and consulting services to the Commonwealth of Virginia and its departments or agencies including the University of Virginia, particularly through the Office of Risk Management of the Commonwealth of Virginia, in Richmond; and
WHEREAS, in order to avoid any appearance of impropriety or conflict of interest, Mr. Valentine has requested Johnson & Higgins to relieve him of all supervisory and other responsibility with reference to any contracts or other transactions of Johnson & Higgins with the University; and
WHEREAS, pursuant to that request, the governing bodies of Johnson & Higgins have duly adopted resolutions directing that E. Massie Valentine shall not participate or have authority to participate on behalf of Johnson & Higgins in the procurement or letting of any contract or subcontract with the University, including, without limitation, any contract or subcontract for the performance of insurance brokerage, actuarial and consulting services (directly or through the Office of Risk Management of the Commonwealth) and provided that E. Massie Valentine shall have no interest, financial or otherwise, in any contract or subcontract of Johnson & Higgins with the University, and provided further that Mr. Valentine's compensation, while he serves on the Board of Visitors of the University, shall not be increased or in any way influenced by any contract or subcontract of Johnson & Higgins with the University; and
WHEREAS, Mr. Valentine has also requested the Board of Visitors of the University to relieve him of all authority and other responsibility with respect to any contracts or other transactions between Johnson & Higgins and the University;
NOW THEREFORE BE IT RESOLVED by the Board of Visitors of the University:
1. E. Massie Valentine shall not participate or have authority to participate on behalf of the University in the procurement or letting of any contract, subcontract or other transaction between the University and Johnson & Higgins.

2. Until further action be taken by this Board of Visitors, the powers and responsibilities of E. Massie Valentine, as a Member of this Board of Visitors, shall be deemed limited by the immediately preceding paragraph.
