CONSIDERATION OF THE PROPOSED PURCHASE OF THE TOWERS HOSPITAL

The President referred to a Sales Contract dated May 6, 1975, for the purchase by the University of the Towers Hospital and outlined the terms and conditions for the purchase. The terms include a provision that the University Medical Center would assume full responsibility for the hospital and/or nursing care of patients in that facility on July 1, 1975. The President advised the Board that he and his staff had used their best efforts to work out all of the problems, that had arisen, including legal questions, and that this was the best package that could be put together for presentation to the Board. He recommended that the Towers Hospital be purchased and sought approval of the Sales Contract, subject to favorable ruling of the Attorney General and to further approval of the Governor.

Mr. William S. Potter, Chairman of the Finance Committee, said that the matter had been considered at great length, that the Finance Committee had concluded that the Contract was not acceptable, and that the Committee was unable to recommend it to the Board.

Following this, all members of the Board present voted to reject the proposal except for the following Visitors who did not participate in the discussion and did not vote on the issue: Messrs. Robert P. Buford, George C. Palmer, William E. Leggett, and W. Wright Harrison.
