RESOLUTION AUTHORIZING A PROJECT CONSISTING OF THE PURCHASE
AND LEASE OF LAND AND THE CONSTRUCTION OF A NEW ACADEMIC
FACILITY IN NORTHERN VIRGINIA

The following resolution was adopted:

  • WHEREAS the Division of Continuing Education wishes to construct a new academic facility for its programs in Northern Virginia (the "Project");
  • WHEREAS, a seven acre site adjacent to Falls Church's George Mason Middle and High Schools in Fairfax County has been selected as the preferred location, based on programmatic and cost considerations;
  • WHEREAS the Project will be developed and used jointly by the University of Virginia and the Virginia Polytechnic Institute and State University (the "Universities");
  • WHEREAS the Universities plan to lease and purchase land and enter into a contract with a developer in connection with the Project;
  • WHEREAS the Universities plan to issue debt to finance the Project, either jointly or separately;
  • RESOLVED that the University's participation in the Project, consisting of the purchase and lease of land and the construction of a new academic facility in Fairfax County, is approved. The Executive Vice President and Chief Financial Officer is authorized to enter into a ground lease with the City of Falls Church for approximately five (5) acres of land for a period not to exceed forty (40) years and to purchase for a fixed price of $1.3 million or lease from the County of Fairfax, under terms similar to those for the five acres, the additional two (2) acres known as the Miller & Smith parcel. In addition, the Executive Vice President is authorized to enter into a contract with a developer for the Project and a Memorandum of Understanding with the localities regarding the financing and use of the facilities. The total cost of the project shall not exceed $18.6 million. All property and contracts will be held jointly by the Universities and expenses will be shared based on usage of the facility.
  • RESOLVED FURTHER that the Executive Vice President and Chief Financial Officer is similarly authorized to seek requisite State approvals and to execute necessary documents on the University's behalf in order to implement the Projects.
