MOTIONS FOR EXECUTIVE SESSION

The following motions were adopted unanimously by the vote of all Visitors present:

  • (a) That the Board of Visitors of the University of Virginia go into Executive Session for consultation with the General Counsel pertaining to (1) pending litigation involving the University, (2) particular disputes that may lead to litigation, and (3) specific legal matters requiring the advice of counsel including discussion of the legal authority and fiduciary responsibility of the Board of Visitors relative to its oversight of University-related foundations, as provided for in Section 2.1-344 (A) (7) of the Code of Virginia.
  • (b) That the Audit Committee of the Board of Visitors of the University of Virginia go into Executive Session for the purpose of discussing and considering reports and recommendations of the Internal Auditor related to the recently completed fiscal audits and performance evaluations of certain University departments and programs, including the Newcomb Hall Bookstore, the Department of Athletics Ticket Office, University Accounts Payable, the Outpatient Billing of the Health Sciences Center and the Burn Unit of the Health Sciences Center, as provided for in Section 2.1-344 (A)(1) of the Code of Virginia.
  • (c) That the External Affairs Committee of the Board of Visitors go into Executive Session for the purpose of discussing specific fund-raising activities and strategies in preparation for the Capital Campaign as provided for in Section 2.1-344 (A) (8) of the Code of Virginia.
  • (d) That the Educational Policy Committee of the Board of Visitors go into Executive Session for the purpose of discussing evaluation of certain schools and departments and discussing personnel matters pertaining to the appointment, assignment, reappointment, promotion, performance, compensation, separation or resignation of specific faculty members of the University of Virginia, as provided for in Section 2.1-344 (A) (1) of the Code of Virginia.
