ARTICLE IX. MISCELLANEOUS
SECTION 901. Adoption of Necessary and Appropriate Documents.
- The Vice President for Business and Finance of the University is hereby authorized to negotiate, execute and deliver, in necessary and appropriate form, the following documents:
- (a) a Final Official Statement relating to the offering of the Bonds for sale in substantially the form presented at the meeting at which this Series Resolution is adopted; and
- (b) a Contract of Purchase relating to the sale of the Bonds to the Underwriters of the Bonds in substantially the form presented at the meeting at which this Series Resolution is adopted;
- (c) a Remarketing Agreement, appointing Goldman, Sachs & Co., as Remarketing Agent in connection with the Bonds in substantially the form presented at the meeting at which this Series Resolution is adopted; and
- (d) the Reimbursement Agreement with the Bank in substantially the form presented at the meeting at which this Series Resolution is adopted.
SECTION 902. Bond Delivery.
All directors, officers and employees of the University are hereby authorized to take all actions necessary to accomplish the delivery of the Bonds to Goldman, Sachs & Co., as representative of the Underwriters of the Bonds.
SECTION 903. Governing Law.
This Series Resolution is adopted with the intent that the laws of the Commonwealth of Virginia shall govern its construction.
SECTION 904. Headings.
Any headings preceding the texts of the several articles hereof, and any table of contents or marginal notes appended to copies hereof, shall be solely for convenience of reference and shall not constitute a part of this Resolution, nor shall they affect its meaning, construction or effect.
SECTION 905. Repeal of Inconsistent Provisions.
Any prior resolutions or provisions of resolutions of the Board inconsistent with any provisions of the Resolution are hereby repealed.
SECTION 906. Filings.
The Secretary of the Board is hereby authorized and directed to file certified copies of this Resolution with the Governor and the Treasury Board.
