CHARGE TO THE PROXY ADVISORY COMMITTEE

  • The following resolution was adopted:
    RESOLVED that the Proxy Advisory Committee be and it is charged with the following responsibilities:
  • 1. Review of the Vice President for Business and Finance's designation of upcoming proxy resolutions as being "social" or "business" and either concurring or recommending changes in such designations to the President.
  • 2. Recommend to the President from the pool of "social" issues those which are of such major import that they require further study and should not routinely be voted as an "abstention."
  • 3. Study those issues so approved by the President with particular emphasis focused on the effects of the proxy resolution involved on the company, society and the University.
  • 4. Study other related issues as the President may direct from time to time.
  • 5. Accept petitions from the community allowing oral presentations if requested.
  • 6. Prepare a written report substantiating the majority of the Committee's specific recommendations by including a description of the Committee's procedure, research findings, analysis and conclusions. Committee members may also submit separate reports of concurring or dissenting recommendations.
  • 7. Appear before the President, Vice President for Business and Finance or Finance Committee upon request to answer questions about a particular report or the Committee's activities in general.
  • 8. Report back to University community such Finance Committee decisions as the President may direct.
