PREAMBLE

The University of Virginia Medical Center (the "Medical Center") originally established the Defined Contribution Plan for Health Care Professionals (the "HCP Plan") effective July 1, 1993, to provide retirement benefits to a limited group of Medical Center employees who were not covered by the University's Defined Contribution Retirement Plan for the General Faculty of the University of Virginia. Effective January 1, 1999, the Medical Center expanded the coverage of the HCP Plan to generally include all full time salaried employees of the Medical Center. With the expansion of coverage, the HCP Plan was renamed the Defined Contribution Plan for Employees of the University of Virginia Medical Center (the "Plan") and was amended and restated effective January 1, 1999. The Plan is a combination 403(a)/401(a) plan funded both by annuities and a tax-exempt 501(a) trust.
