APPROVAL OF RESOLUTION TO AVOID CONFLICT OF INTEREST FOR
JOHN S. BATTLE, JR.

The following resolution was adopted:

  • WHEREAS, John S. Battle, Jr., a partner of McGuire, Woods and Battle, has been appointed to serve as a Member of the Board of Visitors of the University of Virginia (the "University");
  • WHEREAS, McGuire, Woods and Battle from time to time performs legal services for the University and partners and associates of that firm perform teaching services for the University; and
  • WHEREAS, in order to avoid any appearance of impropriety or conflict of interest, Mr. Battle has requested the Executive Committee of McGuire, Woods and Battle to relieve him of all supervisory and other responsibility with reference to the firm's contracts or other transactions with the University; and
  • WHEREAS, pursuant to that request, the Executive Committee of McGuire, Woods and Battle has adopted the following resolution:

  • RESOLVED that John S. Battle, Jr., shall not participate or have authority to participate on behalf of the firm in the procurement or letting of any contract or subcontract with the University of Virginia (the "University"), including, without limitation, any contract or subcontract for the performance of legal services, and
  • FURTHER RESOLVED, that Mr. Battle shall have no interest, financial or otherwise, in any contract or subcontract of the firm with the University, and to this end it is
  • FURTHER RESOLVED that Mr. Battle's share of the net profits of the firm for each fiscal year (or part thereof) during which he serves on the Board of Visitors of the University shall be reduced by a fraction, the numerator of which shall be the revenues received by the firm during such year (or part thereof) from contracts or subcontracts with the University and the denominator of which shall be the total revenues received by the firm during such year (or part thereof) from all sources. The amount of any such reduction shall be allocated prorata among the other partners.
  • WHEREAS, Mr. Battle has, similarly, requested the Board of Visitors of the University of Virginia to relieve him of all authority and other responsibility with respect to any contracts or other transactions between McGuire, Woods and Battle and the University;
  • NOW THEREFORE BE IT RESOLVED by the Board of Visitors of the University of Virginia:
  • 1. John S. Battle, Jr. shall not participate or have authority to participate on behalf of the University in the procurement or letting of any contract or other transaction between the University and McGuire, Woods and Battle.
  • 2. Until further action be taken by this Board of Visitors, the powers and responsibilities of John S. Battle, Jr., as a Member of this Board of Visitors shall be deemed limited by the immediately preceding paragraph.
