AUTHORIZATION FOR EXECUTION OF MEMORANDUM OF UNDERSTANDING AND AFFILIATION AGREEMENT BETWEEN THE UNIVERSITY AND THE UNIVERSITY OF VIRGINIA HEALTH SERVICES FOUNDATION

• The following resolution was adopted:
• RESOLVED that the Rector and Visitors of the University of Virginia hereby reaffirms its approval in principle of the proposed formation, by members of the Clinical Faculty of the Medical School, of a non-stock corporation, to be called "The University of Virginia Health Services Foundation," for the purposes described in the proposed Articles of Incorporation and By-Laws, copies of which were exhibited to the meeting.
• RESOLVED FURTHER that the appropriate University Officers are hereby authorized to execute the Memorandum of Understanding between the University and the Foundation, a copy of which was exhibited to the meeting, and such officers are further authorized to negotiate an Affiliation Agreement between the University and the Foundation as described in the Memorandum of Understanding, which Agreement would be subject to the approval of the Executive Committee.
